By accessing or using any platform, application, website, or service operated by Fairway Venture Holdings, LLC ("Fairway," "Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Fairway Venture Holdings, LLC. Your continued use of any Fairway service following any updates to these Terms constitutes your acceptance of the revised Terms.

You must be at least 18 years of age, or the age of majority in your jurisdiction of residence (whichever is greater), to access or use the Services. By using the Services, you represent and warrant that you meet this age requirement.
The Services are available only in jurisdictions where peer-to-peer skill-based gaming and wagering is expressly permitted by applicable law. It is your sole responsibility to determine whether your participation in the Services is lawful in your jurisdiction. Fairway reserves the right to restrict access to the Services in any jurisdiction at any time.

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Fairway of any unauthorized use of your account or any other breach of security at access@fairwayventure.com.
Fairway reserves the right to suspend or terminate your account, without notice, for any reason, including but not limited to a violation of these Terms, fraudulent activity, or conduct that Fairway determines to be harmful to other users or to the Company.

The Services facilitate contests and games that are determined predominantly by skill. Fairway does not guarantee any outcome, and past performance is not indicative of future results. Users participate at their own risk.
You may fund your account using payment methods accepted by Fairway. All deposits must be made using payment methods that are lawfully owned by you. Fairway reserves the right to verify the source of funds and to reject any payment it deems suspicious.
Withdrawals are subject to identity verification, applicable tax reporting requirements, and any minimum withdrawal thresholds established by Fairway. Processing times may vary.
Fairway may charge platform fees, rake, or transaction fees in connection with the Services. All applicable fees will be disclosed prior to entry into any contest or wager.
Any attempt to initiate a chargeback or payment reversal for funds already used or wagered on the platform may result in immediate account suspension and potential legal action.

You may not reproduce, distribute, modify, or create derivative works of any content without the express written consent of Fairway.
By submitting any content to the Services (including but not limited to scores, comments, or profile information), you grant Fairway a non-exclusive, royalty-free, worldwide, perpetual license to use, display, and distribute such content in connection with the Services. You represent and warrant that you have all rights necessary to grant this license.

The Services may contain links to third-party websites or services. Fairway does not endorse and is not responsible for the content, privacy practices, or terms of any third-party website or service. Your interactions with third parties are solely between you and such third party.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAIRWAY VENTURE HOLDINGS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FAIRWAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU DEPOSITED INTO YOUR ACCOUNT IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Nothing in these Terms shall limit liability for death or personal injury caused by Fairway's gross negligence or willful misconduct.
You agree to indemnify, defend, and hold harmless Fairway Venture Holdings, LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit to the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of laws principles.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Fairfield County, Connecticut, unless otherwise agreed by the parties.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Nothing in this Section shall prevent either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Fairway reserves the right to modify these Terms at any time. Updated Terms will be posted to the platform with a revised "Last Updated" date. It is your responsibility to review these Terms periodically. Your continued use of the Services following any such modification constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other agreements or policies incorporated herein by reference, constitute the entire agreement between you and Fairway Venture Holdings, LLC with respect to the Services and supersede all prior agreements and understandings.
